Generative AI Terms
These IDeaS Generative AI Terms apply to the Service(s) identified in any agreement executed between Client and IDeaS, collectively the “Agreement” as defined below. Where these IDeaS Generative AI Terms conflict with any other terms of the Agreement, these IDeaS Generative AI Terms control. Capitalized terms used but not otherwise defined herein shall have the meaning set forth in the Agreement. IDeaS will maintain the latest version of these Generative AI Terms at the following URL: https://ideas.com/generative-ai-terms/.
Client Prompts and Responses; Ownership
Client Prompts and the resulting Responses are deemed Client Materials and are deemed Client’s Confidential Information. IDeaS does not own or claim ownership in either Client Prompts or the resulting Responses. Responses may not be unique and other users of generative AI features may generate the same or similar Responses.
Retention and Use of Client Prompts and Responses by IDeaS
If IDeaS retains Client Prompts and Responses, IDeaS will do so only for sufficient duration to allow IDeaS to provide the Service(s), to allow IDeaS to monitor the performance and quality of the Service(s), and for safety assurance purposes. After that time, any Client Prompts and Responses temporarily retained by IDeaS will be deleted. IDeaS will not use Client Prompts or Responses to train any models.
Third-Party Platforms and Functionality
The Service(s) may leverage, integrate with, or interoperate with third-party generative AI models or services. IDeaS cannot guarantee the continued availability of third-party models or services. IDeaS exercises no control over, disclaims any liability for, and does not indemnify for claims arising from, the design, training, creation, storage, operation, security, accuracy, availability, or functionality of third-party generative AI models, services or their Responses.
IDeaS has only selected, and will only select, third-party generative AI models or services if their stated use is consistent with IDeaS’ obligations to Client, such as protecting Client’s Confidential Information and not using Confidential Information to train or improve third-party generative AI models.
Client Responsibilities
Client acknowledges Generative AI involves statistical predictions and can generate Responses that are incorrect, biased, offensive, insecure, non-functional, outdated, or otherwise problematic. Client is responsible for its Client Prompts and will not transmit Personal Data in Client Prompts. Client is responsible for ensuring Responses are accurate and suitable for Client’s intended purpose before using them.
Acceptable Use Policies and Third-Party Required Terms
Client must use the Service consistent with the IDeaS Acceptable Use Policy, available at https://ideas.com/acceptable-use-policy/. The restrictions contained in third-party terms may also apply to Client’s use of this Service, as indicated below or in the Agreement.

Definitions:
“Agreement” means the IDeaS Master Subscription and Services Agreement, or similar master agreement that contains governing terms and conditions, Order Form(s), Statement(s) of Work, Supplement(s), Attachment(s), Exhibit(s), including any Amendments thereto, or any other contract entered into between Client and IDeaS for the applicable Service(s).
“Client Prompt(s)” means a Client instruction or input to a generative AI model or service.
“Responses” means the output or result of a generative AI model or service.
“Client Materials” means all data, materials, authentication credentials, software and other materials made available to IDeaS by Client for use with the System.
“Personal Data” means information relating to an identified or identifiable natural person.
“Confidential Information” means any non-public information either party marks as confidential or should be reasonably understood to be considered confidential due to its nature, including but not limited to, performance objectives, performance data, pricing strategies, or other business-sensitive materials either party shares for use in delivering revenue management services.
